Relevant experience includes a corporate associate position assigned to the corporate finance department with the law firm of King & Spalding in Atlanta, Georgia, where I assisted in the structure, negotiation and closing of corporate finance and mergers and acquisitions transactions as issuers counsel for public and private companies, investment banks and investment funds and included the preparation of documents for various commercial transactions as well as due diligence investigations and the drafting of related documentation.
As Assistant General Counsel with The Widewaters Group, Inc, a private commercial real estate development company, my responsibilities included all facets of commercial real estate transactions, including acquisitions, sales, transfers, leasing, zoning/land use approvals and development. Advised and coordinated with key leasing/real estate executives to structure, negotiate and draft purchase/sale contracts, leases, restrictive covenants, easement agreements, consulting and subcontractor agreements and related corporate/commercial contracts. Coordinated land use matters with outside consultants as well as managed outside counsel with litigation, bond matters and real estate closings. As an associate attorney in the Transactions and Lending practice group of Macey, Wilensky, Kessler, Howick & Westfall in Atlanta, Georgia my practice specialized in all facets of commercial transactions, including the acquisition, disposition and development of commercial real estate, commercial leasing, secured and unsecured lending, corporate structure and related transactions through the representation of commercial and private lenders, credit unions, commercial financial services providers, real estate developers and investors, and business owners. The practice also includes a variety of general corporate and partnership transactional matters, as well as the representation of private and start-up companies in the structuring, negotiation and drafting of acquisition/disposition and corporate documentation and various ancillary commercial agreements
As Corporate Counsel for Mimms Enterprises, Inc., a Roswell, Georgia based commercial real estate owner/developer I managed and directed all aspects of the company’s acquisition and disposition of commercial real estate assets, including the structuring, negotiation and drafting of purchase and sale agreements, amendments, restrictive covenants, easement agreements and related corporate/commercial documents. Structure and draft closing documentation as well as any ancillary documents. Structure, review and draft commercial loan documentation (term, revolving and construction) as well as participation in the closing and funding of such loans. Management of outside counsel related to acquisitions and dispositions of commercial real estate, 1031 exchange transactions and the closing of commercial loans. Structure, draft and negotiate commercial leases involving retail, office and flex space. Maintain updated reports on acquisitions and sales of portfolio properties. Position maintained a direct report to the executive management team. Currently, I maintain a solo practice, which in addition to acting as General Counsel for CFM Group, LLC, an Atlanta based commercial collection agency, providing advice and counsel regarding pre-suit collection processes, litigation and post-judgment collections, the practice also includes commercial real estate transactions, including the acquisition and disposition of commercial real estate, commercial leasing, small business consulting, estate planning services and general corporate transactional matters
